Who we are

What this agreement covers
This agreement covers your use of the Passo Shopify app, the dashboard at passoagency.com, the strategy report delivered at report.passoagency.com, and any related communications we send you. It does not replace the Shopify Merchant Terms of Service, the Meta Platform Terms, or the Google Ads Terms of Service. You continue to be bound by those when you connect each platform to us.
When the agreement starts
The agreement starts when you install the Passo app from the Shopify App Store and accept these terms during install. It continues until you uninstall the app or we end it under one of the clauses below.
Who can use the service
You may use the service if you operate a Shopify store, you are aged eighteen or over, and you have the authority to enter into this agreement on behalf of the business that owns the store. We currently accept merchants based in the United Kingdom and the European Economic Area. We will expand availability over time and update this clause when we do.
What the service is
We are a media agency delivered through software. Once you connect Shopify and your ad accounts, we read your data and publish a personalised media strategy within three working days. After that, the dashboard refreshes daily and we send a short list of recommendations each week. We also offer a managed buying service across programmatic channels and, as that service expands, across Meta Ads and Google Ads. The boundary between what we read and what we do is set in writing on the data & privacy page and at the moment of each connection.
Connected platforms
When you connect Meta Ads, Google Ads, or Google Analytics to Passo, you grant us a limited, revocable permission to access your account on a read-only basis for as long as the connection is live. You retain ownership of every connected account and the data inside it. You can disconnect any source from the dashboard at any time. We will revoke the relevant OAuth token with the upstream platform on the same day.
If you later instruct us in writing to manage a connected ad account on your behalf, the scope of access expands to include the write operations needed to run that service. We will set out the specific scopes before they take effect, and we will never enable a write scope without your explicit instruction.
Subscription and prepaid media balance
The service is provided on a monthly subscription. The subscription covers the strategy report, the dashboard, and the weekly recommendations. Your monthly fee is the fee shown on the pricing page and on the Shopify App Store listing at the moment you install. We may change the subscription fee on thirty days' written notice; if you do not wish to continue at the new fee, you can uninstall the app before the change takes effect.
If we are buying media on your behalf, you also maintain a prepaid media balance that funds those buys. You see the amount paid in and the amount remaining at all times. There is no auto top-up. We never charge media spend to a card we have not been instructed to draw on. If you uninstall the app, we refund any unused media balance to the same payment method within thirty days.
Satisfaction refund in your first month
If you are not happy with Passo at any point during your first calendar month, ask for a refund of the platform fee you paid for that month and we will issue it. There are no eligibility checks, no forms, and no approval queue. The refund covers your platform fee for the month. It does not cover media spend, because the inventory was delivered to real audiences. The refund is available once per merchant and is processed in the dashboard. If no invoice has yet been raised when you ask, no money needs to move and we record the request as resolved.
Acceptable use
You agree not to use the service to advertise products or services that breach the law in the United Kingdom or in any market where the ads will be served. You agree to comply with the advertising policies of every platform we connect to on your behalf, including Meta, Google, Shopify, and the publishers we buy on. Restricted categories under the connected platforms' policies, including but not limited to weapons, illegal substances, regulated financial products without licence, and content that targets minors, are excluded from the service.
You also agree not to attempt to reverse engineer the service, to interfere with its operation, to access another merchant's data, or to use the service to build a competing product.
What we never do without your instruction
Without your explicit instruction we do not write to your ad accounts, change your campaigns, contact your customers, post on your behalf on any social network, share your data with third parties, or use your data to train models that benefit other merchants. The boundary is set in code and audited in the data & privacy page.
Intellectual property
You retain all rights in your data, your brand, your products, your creative, and any content you upload. We retain all rights in the Passo platform, the design system, the agent architecture, and the analysis methods. The strategy report and the recommendations we produce for you are licensed to you for your own use and the use of your advisers. You are welcome to share them within your team or with a partner agency. They may not be resold or republished.
Confidentiality
We treat the contents of your accounts, your performance numbers, and your business plans as confidential. We use them only to provide the service. We share them only with sub-processors listed in our privacy policy, only as far as needed to run the service, and only under written contracts that bind those sub-processors to equivalent confidentiality. We will not disclose your confidential information to anyone else without your instruction or unless we are required to by law.
No guarantee of advertising outcomes
Advertising performance depends on many factors outside our control, including platform algorithm changes, auction dynamics, creative supply, and seasonal demand. We do not guarantee any specific level of revenue, return on ad spend, customer acquisition cost, or campaign outcome. The recommendations we produce are professional judgement applied to your data. The decision to act on them is yours.
Limitation of our liability
Nothing in this agreement excludes our liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be excluded under English law. Subject to that, our total liability to you under or in connection with this agreement is limited to the platform fees you paid us in the twelve months immediately before the event that gave rise to the claim. We are not liable for indirect, consequential, or special losses, including lost profits, lost revenue, or lost goodwill.
Ending the agreement
You can end the agreement at any time by uninstalling the Passo app from your Shopify admin. The subscription stops at the end of the current billing month. Any unused prepaid media balance is refunded within thirty days. We will delete your data on the schedule set out in the data deletion page.
We can end the agreement if you materially breach these terms and do not put the breach right within fourteen days of us writing to you about it, if your Shopify account is closed, or if the law requires us to. In any of those situations we will issue any refund due, complete the deletion schedule, and confirm in writing that the agreement has ended.
Changes to these terms
We may update these terms from time to time. If a change is material, we will give you thirty days' notice before it takes effect, either inside the dashboard or by email. The current version is always available at this URL and the last-updated date is recorded at the bottom of the page.
Governing law
This agreement is governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising from or in connection with it, except that we may bring proceedings to protect our intellectual property in any jurisdiction where it is at risk.
